CHAPTER THREE

This chapter will present the corporate governance in State Corporation in other jurisdictions. The chapter will broadly analyze the code of best practice for corporate governance of state corporations. It will be broken down into: legal and regulatory framework for state corporations; evolution of the concept of corporate governance; reports from the Australian Stock Exchange Corporate Governance Council (2003), Cadbury Report (1992), Sarbanes-Oxley (SOX) Act (2002), The Business Roundtable (2002), and King Report on Corporate Governance for South Africa (2002). Guidelines by Organization for Economic Cooperation and Development (OECD); the Commonwealth Association for Corporate Governance, and Eastern, Central and Southern African Federation of Accountants (ECSAFA) will also are reviewed.

IN CHAPTER FIVE:

The pillars and principles of good governance; developments in corporate governance; and, challenges in corporate governance of state corporations will be presented. The chapter will, further, review corporate governance best practices applicable in other countries, regionally and globally.
